1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you", "your") and RaidGuard ("we," "us" or "our"), concerning your access to and use of the RaidGuard behavioral intelligence platform and related services.

By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use our services.

2. Account Registration and Security

2.1 Account Creation

To use certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your password secure and confidential.
  • Notify us immediately of any unauthorized access.
  • Be at least 18 years of age or the age of majority in your jurisdiction.

2.2 Account Security

You are responsible for all activities under your account. We offer:

  • Two-Factor Authentication (2FA) - we strongly recommend enabling this feature.
  • Email verification for account creation and password resets.
  • Automatic account lockout after 10 failed login attempts.
  • Session management and the ability to log out all devices.

2.3 Account Termination

We reserve the right to suspend or terminate your account if you:

  • Violate these Terms of Service.
  • Engage in fraudulent or illegal activity.
  • Compromise the security or integrity of our platform.
  • Abuse or harass other users or our staff.

3. Acceptable Use Policy

By using RaidGuard, you agree NOT to:

  • Use the platform to farm engagement, manipulate metrics, or deceive other users.
  • Attempt to reverse-engineer, decompile, or extract our proprietary algorithms.
  • Use the service to harass, abuse, threaten, or harm another person.
  • Automate access through scripts, bots, or scrapers (except via our official API with proper authentication).
  • Sell, transfer, or sublicense your account without written permission.
  • Upload malicious code, viruses, or any harmful software.
  • Attempt to gain unauthorized access to our systems, servers, or databases.
  • Interfere with or disrupt our services or infrastructure.
  • Violate any applicable laws or regulations.
  • Infringe upon intellectual property rights of RaidGuard or third parties.

4. Raid & Campaign Integrity

RaidGuard is designed to identify and promote authentic engagement in crypto communities. We reserve the right to flag, penalize, or ban accounts that demonstrate patterns consistent with:

  • Sybil Attacks: Creating multiple fake identities to manipulate metrics.
  • Bot Farming: Using automated systems for low-quality or spam engagement.
  • Inorganic Coordination: Artificially inflating engagement through coordinated spam.
  • Metric Manipulation: Any attempt to artificially boost Authenticity Scores.

Important: Our risk scores and behavioral assessments are proprietary estimates generated using confidential algorithms and methodologies. While we strive for accuracy, we do not guarantee absolute precision in every instance. Scores are provided as analytical tools to assist in decision-making, not as definitive judgments of individual users. The specific methods, formulas, and techniques used to generate these scores are trade secrets and are not disclosed.

5. Intellectual Property Rights

5.1 Our Proprietary Technology

Unless otherwise indicated, the Site, services, and all content, features, and functionality are owned by RaidGuard and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The following are proprietary and confidential to RaidGuard:

  • Scoring Algorithms: All methodologies, formulas, and techniques used to calculate risk scores, authenticity metrics, and behavioral assessments.
  • Detection Systems: Bot detection models, machine learning algorithms, and pattern recognition systems.
  • Analytical Methods: Data processing techniques, weighting systems, and analytical frameworks.
  • Source Code: All backend code, frontend code, database schemas, and system architecture.
  • Brand Assets: RaidGuard name, logo, design elements, and all branding materials.

5.2 Reverse Engineering Prohibition

You expressly agree NOT to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover our source code or algorithms.
  • Attempt to derive, recreate, or replicate our scoring methodologies through testing or analysis.
  • Use our services to build competing products or services.
  • Copy, modify, distribute, or create derivative works based on our proprietary technology.
  • Remove, obscure, or alter any proprietary notices, labels, or marks.
  • Benchmark or publish performance metrics without prior written consent.

5.3 Your Content

You retain ownership of any content you submit. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for providing our services.

5.4 Enforcement

Violation of these intellectual property provisions may result in immediate termination of your account and legal action. We reserve all rights to protect our proprietary technology and trade secrets.

6. API Usage and Developer Terms

If you use our API:

  • You must authenticate using valid API keys.
  • You must respect rate limits (default: 100 requests per minute).
  • You must not share or expose your API keys publicly.
  • You acknowledge that API access may be modified or terminated at any time.
  • You agree to use the API only for legitimate purposes in accordance with these Terms.

7. Payment and Subscription Terms

7.1 Pricing

Pricing for our services is available on our website and may change at any time. We will provide notice of price changes for existing subscriptions.

7.2 Billing

  • Subscriptions are billed in advance on a recurring basis.
  • You authorize us to charge your payment method for all applicable fees.
  • All fees are non-refundable except as required by law.

7.3 Cancellation

You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period.

8. Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Financial Advice

RaidGuard is an analytics tool, not a financial advisor or security guarantor. We provide behavioral intelligence data only. We are not responsible for:

  • Financial losses or token price fluctuations.
  • Community management decisions made based on our data.
  • Trading or investment decisions.
  • Actions taken by third parties based on Authenticity Scores.

8.3 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RAIDGUARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

9. Indemnification

You agree to indemnify, defend, and hold harmless RaidGuard and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of our services.
  • Your violation of these Terms.
  • Your violation of any third-party rights.
  • Any content you submit or share through our services.

10. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using our services, you also agree to our Privacy Policy.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or our services shall be resolved through:

  • Informal Resolution: Contact us at legal@raidguard.app within 30 days of the dispute arising to attempt good faith resolution.
  • Binding Arbitration: If informal resolution fails within 60 days, disputes shall be resolved through binding arbitration under the American Arbitration Association (AAA) rules.
  • Class Action Waiver: You agree to bring claims only in your individual capacity, not as part of a class action, consolidated action, or representative proceeding.
  • Exception for Injunctive Relief: Either party may seek injunctive relief in court for violations of intellectual property rights.

11.3 Jurisdiction and Venue

You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware for any actions not subject to arbitration.

12. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

  • Posting the updated Terms on this page.
  • Updating the "Last Updated" date.
  • Sending you an email notification (for significant changes).

Your continued use of our services after changes take effect constitutes acceptance of the modified Terms. If you do not agree, you must stop using our services.

13. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and RaidGuard concerning our services.
